Terms and Conditions

  1. Validity

1.1 Duration: This Agreement shall commence on the date of signing and remain in effect for a period of 12 months. Both parties will enter into a new agreement for successive periods.

1.2 Amendments: CDC reserves the right to amend the terms and conditions of this Agreement. Any amendments shall be informed in writing and incorporated into this Agreement.

  1. Commission

2.1 Revenue Sharing: The Second Party agrees to a revenue-sharing model.(Refer Business Partnership Agreement for commercials)

2.2 Calculation and Payment: The commission shall be calculated based on the net sales revenue, excluding any discounts, taxes, or additional charges. Payments will be processed in accordance with the invoicing cycle outlined in Section 10. Below is an illustration of calculation and invoice to be raised by second party

  1. Digital Assets

3.1 Product Images: The Second Party shall provide high-resolution product images in accordance with the following specifications:

  • Dimensions: 2779 x 2778 pixels
  • Aspect Ratio: 1:1
  • File Size: Less than 20MB
  • Resolution: Less than 20MP
  • Background: White (no transparent backgrounds)
  • Format: Digital Flat Lay

3.2 Promotional Materials: The Second Party shall provide high-quality promotional images and videos, including:

  • Professional Photoshoots/Videos: High-resolution with varied backgrounds
  • Lifestyle Images: Images depicting products in use or contextual settings

3.3 Submission: All digital assets must be submitted to CDC in the specified formats and within the deadlines set forth in this Agreement.

  1. Social Media

4.1 Marketing Communications: The Second Party shall replicate all marketing communications on CDC’s social media channels simultaneously with their own marketing efforts.

4.2 Pre-Launch Information: The Second Party shall provide CDC with all relevant assets and information related to upcoming product launches at least 15 calendar days prior to the public announcement.

4.3 Approval: The Second Party must obtain written approval from CDC before making any public marketing communications. CDC retains the right to review and include such communications on its platform.

  1. Inventory Management

5.1 Insurance Coverage: The First party shall maintain insurance coverage sufficient to compensate the second party for the market/sale value of the goods in their possession, in the event of damage due to fire, flood, theft or otherwise.

5.2 Storage and Fulfilment:
CDC Dispatching Orders:- CDC will handle the storage, management, and fulfilment of inventory for online orders processed through the CDC platform.

Brand Dispatching Orders:- Failure to dispatch within 48 hours will result in a penalty amounting to 50% of the product's Maximum Retail Price (MRP).

5.3 Product Launches: The Second Party must notify CDC of upcoming product launches and new collections at least 15 days in advance to ensure synchronised availability both online and offline.

5.4 Exclusivity of Launches: The Second Party agrees to ensure that all product launches, whether online or offline, are first communicated to CDC. Any discrepancies in product availability between platforms are to be avoided.

  1. Exclusivity

6.1 Platform Exclusivity: The Second Party agrees that their products will be exclusively available on CDC’s platform and will not be listed on any competing streetwear or sneaker reselling platforms, including but not limited to Mainstreet Marketplace, Free Society, Sole Search India, Hype Ryno, Hype Fly, One Tree Hill, Dawntown, Outro, Capsul, or any other similar platforms.

6.2 Retailer Exclusivity: The Second Party acknowledges CDC as their exclusive retailer for the products covered under this Agreement. Furthermore, the Second Party agrees not to open or operate any brand store offering the same or similar products within a 4 kilometres radius of any CDC store (& 2 kilometres in Mumbai).

  1. Data Protection

7.1 Compliance: Both parties will adhere to the Digital Personal Data Protection Act 2023. Customer data collected through CDC’s platform will only be used for fulfilling orders and related purposes.

7.2 Unauthorised Use: The Second Party shall not use, store, or leverage customer data for any purposes other than those explicitly permitted. Any breach of data protection regulations will result in penalties and may lead to termination of this Agreement.

7.3 Data Deletion: Post-delivery, all customer data must be deleted from the Second Party’s records. Failure to comply will result in legal action and penalties.

  1. Pricing

8.1 Consistency: The Second Party agrees to maintain consistent pricing across both CDC’s platform and any other sales platforms.

8.2 Promotional Campaigns: Any promotional campaigns or pricing changes must be communicated to CDC via email at least 2 weeks prior to the implementation. CDC will adjust its platform pricing accordingly.

8.3 Price Discrepancies: In the event of a pricing discrepancy, a penalty equivalent to 100% of the declared product value will be applied.

  1. Promotional Events

9.1 Participation: The Second Party is permitted to participate in large-scale promotional events. However, participation must not lead to inventory imbalances at CDC.

9.2 Exclusivity in India: The Second Party agrees not to engage with or supply products to other sneaker or streetwear aggregators/sellers in India apart from CDC.

9.3 Reputation: The Second Party acknowledges that exclusivity with CDC enhances the reputation and goodwill associated with their products.

  1. Payments

10.1 Invoicing Cycle: The Second Party must submit monthly invoices on the 1st day of each month.

10.2 Payment Terms: CDC will process payments within 20 days of receipt of the invoice. All invoices must be submitted through the provided Google forms.

  1. Marketing

11.1 Stock Provision: The Second Party agrees to provide a minimum of 15 articles from both onboarding stock and new collections for marketing purposes.

11.2 Samples for Marketing: The Second Party shall provide multiple samples for use in photoshoots, advertisements, and promotional reels. These items will be returnable.

  1. Returns

12.1 Exchange Policy: CDC reserves the right to offer exchanges for products within one week of receipt.

12.2 Faulty Products: Any products identified as faulty or damaged upon delivery must be replaced promptly by the Second Party.

  1. Miscellaneous

13.1 Entire Agreement: This Terms & Conditions document, along with the Business Partnership Agreement, constitutes the entire agreement between the parties and supersedes all prior agreements, oral or written.

13.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India.

13.3 Dispute Resolution: Any disputes arising from this Agreement shall be resolved through arbitration in New Delhi, India, in accordance with applicable arbitration laws.

13.4 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.5 Force Majeure: Neither party shall be liable for any failure or delay in performance under this Agreement due to causes beyond their reasonable control, including but not limited to natural disasters, war, or other unforeseen events.
